Project Experience
Mergers & Acquisition
Client Situation
A large European energy services firm approached Fuld & Company after
having decided to enter the North American market. Its goal was to enter
the market through acquisition or alliance. In the process of investigating
acquisition opportunities, it had been offered the opportunity to invest
in the development of a new water metering technology and enter into a
co-marketing agreement with the product developer. But before it could
make its decision, the client needed to understand the market for this
technology, the impact of legislative and regulatory policies, and industry
players who could be potential competitors.
Fuld & Company's Approach
Toward this end, the client commissioned Fuld & Company to work with
its investment banker and research the market for this technology, and
the industry dynamics affecting its future potential and prospects. Fuld
& Company identified the major players in the market, competitors'
plans and activities, and the viability of this technology from a regulatory
standpoint.
Benefits and Implications
With this information, the client was able to reach a rational investment
decision and further refine its strategy for entry in the North American
market. For more information please contactMark Ferri at mferri@fuld.comor (617) 492-5900
Client Situation
A noteworthy and early entrant in the "dot com" retailing space,
our client, an energy and services provider to the mass market, enlisted
our support initially to develop its S1 filing.
Fuld & Company's Approach
By thoroughly investigating the body of published literature; Fuld &
Company helped develop market intelligence necessary to describe the market
opportunity and growth prospects in the filing. During the investor road
show process, the client engaged Fuld & Company to provide ad-hoc
support of prospective investors' questions about competitors (both incumbent
and new entrants), regulatory trends and developments, and other market
opportunities. With our knowledge of the client's industry and an established
set of contacts and information sources, we were able to rapidly and effectively
support the client's information needs.
Benefits and Implications
Although the client ultimately decided not to issue a public offering,
our efforts supported the IPO option and helped the client pursue some
alternate sources of investment capital. For more information please contactMark Ferri at mferri@fuld.comor (617) 492-5900
Client situation
Our client, the market leader in the manufacturing of photographic equipment,
digital imaging, and film, found that the evolution of internet, satellite,
and wireless technologies increased competition in the imaging market
and was leading to a commoditization of images. In order to contend with
the commoditization of its principal product, our client realized that
it needed to acquire companies whose technology would help them add value
to images.
Fuld & Company's Approach
In support of the client's acquisition strategy, Fuld & Company identified
and analyzed over fifty companies operating in the industry, speaking
with sources within the target companies, venture investors in the sector,
and other industry experts. Using the results of this research, we ultimately
recommended four companies that the client should consider acquiring
Benefits & Implications
Using the results of our research and analysis, the client embarked on
several acquisitions and developed a strategy for improving its position
